Terms of Service
These terms govern your access to Dabiere websites and software services, including Dabiere Ledger.
1. Agreement
These Terms of Service (“Terms”) are an agreement between you and Dabiere Advisory Group LLC (“Dabiere,” “we,” “us,” or “our”). By accessing or using a service that links to these Terms, you agree to them. If you use a service for an organization, you represent that you can bind that organization to these Terms.
2. Eligibility and accounts
You must be at least 18 and legally able to enter a contract. You are responsible for accurate account information, protecting credentials, activity under your account, and promptly notifying us of unauthorized access. Workspace owners are responsible for the users they invite and the permissions they grant.
3. Using the services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the services for your internal personal or business purposes. You may not misuse the services, interfere with security or operation, access them unlawfully, reverse engineer them except where law permits, upload malicious content, or use them to violate another person’s rights.
4. Your content
You retain ownership of receipts, expense records, files, and other content you submit. You grant Dabiere a limited license to host, copy, process, transmit, and display that content only as reasonably needed to provide, secure, support, and improve the services. You represent that you have the rights needed to submit the content and authorize this use.
5. AI suggestions and financial records
Automated and AI-assisted results may be incomplete or incorrect. You are responsible for reviewing merchants, dates, amounts, taxes, categories, and exports before relying on them. Dabiere does not provide accounting, tax, legal, or financial advice, and the services do not replace your professional advisers or your responsibility to maintain records required by law.
6. Trials, subscriptions, and payment
Paid plans renew automatically for the period shown at purchase unless canceled before renewal. Prices, taxes, features, usage limits, and billing intervals will be disclosed before purchase. If you subscribe through an app store, that store’s billing and refund terms also apply. We may change future pricing with advance notice, but changes do not apply retroactively to an already-paid billing period.
7. Service changes and availability
We may add, change, suspend, or discontinue features as the products evolve. We aim to provide reliable services but do not guarantee uninterrupted or error-free operation. Preview or beta features may change more frequently and may be withdrawn.
8. Dabiere property
Dabiere and its licensors own the services, software, designs, branding, and related intellectual property, excluding your content. Feedback you voluntarily provide may be used without restriction or obligation to you.
9. Third-party services
Our services may connect to third-party platforms or rely on third-party providers. Their terms and privacy practices govern your direct relationship with them. We are not responsible for third-party products outside our control.
10. Disclaimers
To the maximum extent permitted by law, the services are provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
11. Limitation of liability
To the maximum extent permitted by law, Dabiere will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Our total liability arising from the services will not exceed the amount you paid us for the service during the 12 months before the event giving rise to the claim. This limitation does not apply where prohibited.
12. Suspension and termination
You may stop using the services at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or misuse the services. Where reasonable, we will provide notice and an opportunity to export your content before termination, subject to security and legal constraints.
13. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute not resolved informally will be brought in a state or federal court with jurisdiction in New York, and each party consents to those courts.
14. Changes and contact
We may update these Terms. If a change materially affects your rights, we will provide reasonable notice. Continued use after the effective date means you accept the updated Terms. Questions may be sent to chris@dabiere.com.
